INTRODUCTION
You must be of legal age to enter into a binding agreement in order to accept the
Agreement. If you do not agree to the General Terms, do not
use any of our Services. If you agree to the General Terms and do not agree to any Service Specific
Terms, do not use the corresponding Service. You can
accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of
the A agreement or by actually using the Services.
In this section we explain how to subscribe to
Repotic and use our services. When you see a word in
bold, it will have the same corresponding meaning every time it’s used within these
terms.
- You and Repotic: When we say you or your, we mean both
you and any entity or firm you’re authorised to
represent. When we say Repotic,
we, our or us, we’re talking about the ACCUAI Software private Limited entity you pay fees to
based on the Repotic’s product you’re using.
- Our services: Our services consist of all the services
we provide now or in the future.
- Creating a subscription: When you create a subscription
to use our services and accept these terms, you become a
subscriber. If you’re the subscriber, you’re the one responsible for paying for your
subscription.
- The right to use our services: Whether you’re a
subscriber or a free trial user, we grant you the right to use
our services (based on your subscription type) for as long as the subscriber continues to pay
for the subscription or validity of free trial, until the
subscription is terminated.
- Subscriber role: As a subscriber, you take full
responsibility for controlling how your subscription is managed
and who has access to it. It’s quite a big deal!
Because Repotic stores vital and sensitive information, we
strongly recommend that you do not grant account access to
third parties.> Please ensure that your account is only accessed by authorized
personnel within your own organization. br
As the account owner, you are the one responsible for:
- Controlling access: Deciding who gets to use
your account and ensuring they are trusted, internal team
members.
- User actions: Taking full responsibility for the
actions of anyone has access into your workspace,
including any data leaks that happen if you choose to share access of subscription with
others.
- Billing: make sure your subscription is renewed
before due date for uninterrupted service.
- Your responsibilities: You promise that you’ll keep your
information (including a current email address & Mobile
Number) up to date. You’re also responsible for protecting your username and password from
getting stolen or misused. You should ensure that passwords
are very strong and not easily guessable. The stronger the password the better!
- When we introduce new or revised services: Since we’re
always thinking about how to make Repotic the best it can
be. We regularly expand our services. For new or updated services, there might be additional
terms. We’ll let you know what those terms are before you
start using those services. Where this occurs, we’ll endeavour to notify you where practical
(for example, by email, on our blog, or within our services
when you log in).
- What we own: We own everything we’ve put into our
services unless otherwise stated and excluding content owned
by others. This includes rights in the design, compilation, and look and feel of our services.
It also includes rights in all copyrighted works,
trademarks, designs, inventions, and other intellectual property. You agree not to copy,
distribute, modify or make derivative works of any of our
content or use any of our intellectual property rights in any way not expressly permitted by us.
Pricing
Unless you’re in a free trial or other offer period, you’ll need
to pay for a subscription based on the pricing of your
selected plan. The pricing details and other terms of your subscription are explained when
you select your plan.
- Trial subscriptions: When you first sign up, you can opt
for a free trial, based on the terms specified at the
time. Once your free trial ends, your access will be temporarily paused. If you choose to
continue using our services, you will need to manually select
a subscription plan and make a payment. We do not automatically bill you or auto-renew
subscriptions, so you are always in full control of your
payments.
- Repotic pricing plans: Your use of our services
generally requires you to pay a subscription fee based on your
subscription type (the subscription fee). The pricing plan consists of the subscription and
subscription fees we offered you, including payment and
cancellation terms. We may update or amend the pricing plan from time to time. The terms of the
pricing plan form part of these terms. As with any
other changes to our terms, changes to the pricing plan won’t apply retrospectively and, if we
make changes and you’re a subscriber, we’ll make
every effort to let you know (for example, by email, on our blog, or within our services when
you log in). Subscription fees may be inclusive or
exclusive of transactional taxes (like GST), as reflected in the pricing plan.
- Taxes for your use of our services: You’re responsible
for paying all other external fees and taxes (other than
GST) associated with your use of our services wherever levied. Your responsibility includes
withholding tax if it applies, unless we already process
that withholding tax.
- Additional services: Depending on how you use our
services, you may be able to take advantage of additional
services that Repotic offers. These might incur an additional fee that we’ll let you know about
when you sign up for those services.
- Importance of timely payments: To ensure uninterrupted
access to our services, you need to renew your
subscription before your current plan expires. If you fail to renew on time, a few things will
happen:
- Suspended Access: We may suspend your access to
the subscription until payment is made.
- Lapsed Pages: Any unused balance pages will
expire and be removed from your account. (These pages are
only carried forward if you renew before your due date!)
- Loss of Offers: You will no longer be eligible
for any promotional pricing or special renewal offers.
- Refund Policy: All subscription fees are non-refundable.
Once a payment has been debited from your account for a
subscription period, we do not provide refunds or credits for partial months of service,
downgrades, or unused time—even if you haven't used the service
at all.
Data use
and privacy
This section sets out how Repotic uses data to provide our
services to you and where you can find information about how
we deal with personal data.
- Use of data: When you enter or upload your data into our
services, we don’t own that data but you grant us a
licence to use, copy, transmit, store, analyse, and back up all data you submit to us through
our services, including personal data of yourself and
others, to: enable you to use our services; allow us to improve, develop and protect our
services; create new services; communicate with you about your
subscription; send you information we think may be of interest to you based on your marketing
preferences; and disclose to third party service providers
and partners to enable and support such purposes.
- Use of your own personal data: We respect your privacy
and take data protection seriously. You acknowledge that
our Privacy Policy describes how we process your own personal data that you enter into Repotic.
- Use of personal data you enter about others: Our Privacy
Policy also applies to the personal data that we
process on your behalf (such as personal data of your customers, suppliers and employees).
- Security incident notifications: Our Privacy Policy set
out our obligations if we become aware of a security
incident concerning personal data we process on your behalf. Depending on the nature of the
incident, and the location of your affected contacts, you
may be required to assess whether the incident must be reported to relevant authority. We think
you’re best placed to make this decision, because you’ll
have the most knowledge about the personal data you have entered in your Repotic subscription.
Confidential
information
We take reasonable precautions to protect your confidential
information and expect that you’ll do the same for
ours.
- Keeping it confidential: While using our services, you
may share confidential information with us, and you may
become aware of confidential information about us. You and we both agree to take reasonable
steps to protect the other party’s confidential information
from being accessed by unauthorised individuals. You or we may share each other’s confidential
information with legal or regulatory authorities if
required to do so.
- INTELLECTUAL PROPERTY AND ACCEPTABLE USE: All Content
included on the Website, unless uploaded by Users, is the
property of Repotic, our affiliates or other relevant third parties. In these terms and
conditions, Content means any text, graphics, images, software,
data compilations, page layout, underlying code and software and any other form of information
capable of being stored in a computer that appears on or
forms part of this Website, including any such content uploaded by Users. By continuing to use
the Website you acknowledge that such Content is
protected by copyright, trademarks, database rights and other intellectual property rights.
Nothing on this site shall be construed as granting, by
implication, estoppel, or otherwise, any license or right to use any trademark, logo or service
mark displayed on the site without the owner’s prior
written permission.
PROHIBITED
USE
You may not use our website or services for any of the following purposes:
- In any way that causes damage to the website or interferes with any other person’s
ability to use or enjoy the services..
- In any way that is harmful, unlawful, illegal, abusive, harassing, threatening, or in
breach of any applicable law, regulation, or governmental
order.
- Making, transmitting, or storing electronic copies of our copyrighted content or
underlying software without our explicit written permission.
Security
We take security seriously and you should too! To help protect
our services and your data, we offer added security
features such as multi-factor authentication.
- Security safeguards: We’ve invested in technical,
physical and administrative safeguards to do our part to help
keep your data safe and secure. While we’ve taken steps to help protect your data, no method of
electronic storage is completely secure and we cannot
guarantee absolute security. We may notify you if we have reason to believe that someone has
accessed (or may be able to access) your account without
authorisation and we may also restrict access to certain parts of our services until you verify
that access was by an authorised user.
- Account security features: We may introduce security
features to make your account more secure, such as
multi-factor authentication. We may require you to adopt some of these features. Where we make
the use of security features optional, you’re responsible
(meaning we’re not liable) for any consequences of not using those features. We strongly
encourage you to use all optional security features.
- Playing your part to secure your data: You have an
important part to play by keeping your login details secure,
not letting any other person use them, and by making sure you have strong security on your own
systems. If you realise there’s been any unauthorised use
of your password or any breach of security to your account or email address linked to your
account, you need to let us know immediately.
Apps and
third-party products – add afterwards
To help make your Repotic experience as seamless and powerful as
possible, our ecosystem includes integrations with
products and services from other companies.
- Other services: Some of our features, such as the Tally
Connector, rely on integrations with third-party
services. When
you use these features, you may also be subject to the terms and conditions of those third-party
providers (such as Tally's terms of service).
Please note that Repotic is not responsible for the performance, availability, or data policies
of any third-party services.
Maintenance,
downtime and data loss
We really try to minimise any downtime, but sometimes it’s
necessary so we can keep our services updated and secure. You
also may have occasional access issues and may experience data loss, so backing up your data
is important.
- Availability: We strive to maintain the availability of
our services and provide online support. On occasion, we
need to perform maintenance on our services, and this may require a period of downtime. We try
to minimise any such downtime. Where planned maintenance
is being undertaken, we’ll attempt to notify you in advance but can’t guarantee it.
- Access issues: You know how the internet works –
occasionally you might not be able to access our services and
your data. This might happen for any number of reasons, at any time.
- Data loss: Data loss is an unavoidable risk when using
any technology. You’re responsible for maintaining copies
of your data entered into our services. We strongly encourage you to regularly export and back
up your data. While we implement robust safeguards,
Repotic is not liable for any data loss, corruption, or the resulting consequences.
- Problems and support: If you have a problem, we have
excellent FAQ available website that should help you with
most situations. If you’ve already tried it and still need help, you can contact our support
team.
- Modifications:
We frequently release new updates, modifications and enhancements to our services, and in some
cases discontinue features. Where this occurs, we’ll
endeavour to notify you where practical (for example, by email, on our blog, or within our
services when you log in).
In situations where the
government enforces changes in laws or the e-commerce platform implements format changes, we
understand the need to thoroughly
research and test these modifications before implementing them on our website. However, in cases
where services must be delivered within a specified
deadline, (ex. - return filing), Repotic will provide the customer with a clear estimation of
the time required to fulfil the service. We kindly request
the customer's cooperation to ensure a timely delivery of the services by working together with
Repotic. In case of any delay in order fulfilment,
Repotic shall not bear the cost of any interest or penalty that may be imposed on customers by
other parties.
- Customers are fully responsible for utilizing any services or features displayed on our
website. Repotic want to clarify that Repotic are not
accountable for the functionality or consequences of these features.
- Repotic is governed by the laws of the country. Repotic will carry out its business in
good faith with complete transparency. Repotic reserves
the right to refuse any order that it cannot deem to fulfil within the legal and
regulatory framework of the country.
Do’s and
don’ts
- No-charge or beta services: Occasionally we may offer a
service at no charge – for example a beta service, or a
time-limited trial account. Because of the nature of these services, you use them at your own
risk.
Termination
- Subscription period: Your subscription continues for the
period covered by the subscription fee paid.
- Renewal: To keep using our services, you must pay the
renewal fee at the end of your billing period. Provided
you continue to pay the subscription fee, these terms automatically continue for a further
period. Remember to renew before your current plan expires so
you don't lose your unused balance pages or experience service downtime!
- Termination by Repotic: Repotic may choose to terminate
your subscription at any time by providing you with one
month’s written notice in advance. Repotic may also terminate or suspend your subscription or
access to all or any data immediately if:
- you breach any of these terms and do not remedy the breach within 14 days after
receiving notice of the breach,
- you breach any of these terms and the breach cannot be remedied, or
- You fail to manually renew your subscription and pay the applicable fees before your due
date.
If your account is suspended for non-payment, you can reactivate your subscription by paying the
outstanding renewal fees in full. However, please
remember the consequences of late renewal: you will be subject to any pricing plan changes that
occurred during your suspension,
your unused balance pages will permanently lapse, and you will
lose
eligibility for any promotional offers.
- Retention of your data: Once a subscription is suspended
or terminated, your account is archived and you will no
longer be able to access the data you submitted or created. We will retain this data for a
limited period in accordance with our data retention policy.
During this retention period, you can reactivate your subscription and regain access to your
data by paying the applicable renewal fees.
Liability
and indemnity
This section is important as it outlines liability terms between
us and subscribers, so we urge you to read it closely
and in full.
- You indemnify us: You indemnify us against all losses,
costs (including legal costs), expenses, demands or
liability that we incur arising out of, or in connection with, a third-party claim against us
arising from your use of our services or any third-party
product, except for losses arising from:
- a breach of these terms by Repotic, its employees, or
- any gross negligence, wilful misconduct, fraud or material error that was solely the
responsibility of Repotic, its employees.
For this indemnity, Repotic will take reasonable mitigation measures where possible to mitigate
our losses.
- Limitation of liability: Our liability to you in
connection with our services or these terms, in contract, tort
(including negligence) or otherwise, is limited as follows:
- We have no liability arising from your use of our services for any loss of revenue or
profit, loss of goodwill, loss of customers, loss of
capital, loss of anticipated savings, legal, tax or accounting compliance issues, damage
to reputation, loss in connection with any other
contract, or indirect, consequential, incidental, punitive, exemplary or special loss,
damage or expense.
- For loss or corruption of your data, our liability will be limited to taking reasonable
steps to try and recover that data from our available
backups.
- Our total aggregate liability to you in any circumstances is limited to the total amount
you paid us for your subscription in the 12 months
immediately preceding the date on which the claim giving rise to the liability arose.
Dispute
Resolution and Jurisdiction of Courts
This section outlines how disputes may be resolved.
- Dispute resolution: Most of your concerns can be
resolved quickly and to everyone’s satisfaction by contacting
our support team.
In the event of any dispute/claims arising out of or in connection with
these Terms, the said dispute/claim shall be resolved
amicably at the first instance within 30 (thirty) business days by the Parties. Thereafter, any
dispute pertaining to the terms and conditions of this
Agreement which cannot be settled amicably within the aforesaid period shall be settled by a
sole arbitrator to be appointed by mutual agreement of the
Parties. The place of arbitration shall be Surat, Gujarat. The language of the arbitration shall
be English. Any award of the arbitrator whether interim
or final shall be subject to the jurisdiction of the courts in Surat alone. you and we agree
that any dispute must be brought in the parties’ individual
capacity and not as a plaintiff or class member in any purported class or representative
proceeding.
Additional
Terms
Here we set out some additional terms. Take a read as they cover

- GENERAL: You may not transfer any of your rights under
these terms and conditions to any other person. We may
transfer our rights under these terms and conditions where we reasonably believe your rights
will not be affected.
If any court or competent authority finds that any provision of these terms and conditions (or
part of any provision) is invalid, illegal or
unenforceable, that provision or part-provision will, to the extent required, be deemed to be
deleted, and the validity and enforceability of the other
provisions of these terms and conditions will not be affected.
Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy
will be deemed a waiver of that, or any other, right or
remedy.

time to time. Customers can take advantage of the
special offer available in their customer accounts directly, without the need for any
coupon code, as long as they meet the respective

We are committed to maintaining a respectful and professional relationship with our customers.
However, any abusive, threatening, or harassing behaviour
directed toward Repotic staff or experts will not be tolerated. In such events, Repotic reserves
the right to immediately terminate your account and
agreement. No refunds will be provided in the event of termination for abusive behaviour.
- No professional advice: Just to be clear, Repotic isn’t
a professional services firm of any sort, and isn’t in
the business of giving any kind of professional advice. We may provide you with information we
think might be useful in running a small business, but
this should not be seen as a substitute for professional advice and we aren’t liable for your
use of the information in that way.
- Events outside our control: We do our best to control
the controllables. We aren’t liable to you for any failure
or delay in performance of any of our obligations under these terms arising out of any event or
circumstance beyond our reasonable control.
- Links to other websites: This Website may contain links
to other sites. Unless expressly stated, these sites are
not under the control of Repotic or that of our affiliates.
We assume no responsibility for
the content of such Websites and disclaim liability for
any and all forms of loss or damage arising out of the use of them.

to the email address you’ve provided us through your subscription
- Usage limitations: You must not use our services in
violation of any laws that apply to you.
- Relationship between the parties: Nothing in these terms
is to be construed as constituting a partnership, joint
venture, employment or agency relationship between you and us.
- Transfer of these terms: Repotic may transfer these
terms - or any of our rights or obligations in these terms -
to another entity as it deems appropriate. Where the transfer relates to Repotic or a big part
of Repotic being sold to a third party or merged with a
third party, we will give you written notice of that.
- Changes to these terms: We sometimes will decide to
change these terms of use. But don’t worry, changes won’t
apply retrospectively and, if we make changes, we’ll make every effort to let you know. You can
keep track of changes to our terms by referring to the
version and the date last updated at the top of the terms. We will reasonably endeavour to
provide you with 60 days’ notice of material changes before
they become effective, unless we need to make immediate changes for reasons, we don’t have
